These terms are a legal agreement. Please read them carefully.
1. Agreement to Terms
By accessing or using Cogito, you agree to be bound by these Terms of Service and our Privacy Policy. If you're using Cogito on behalf of an organization, you represent that you have authority to bind that organization to these terms.
If you don't agree to these terms, please don't use our services.
2. What Cogito Is
Cogito is an AI-powered business intelligence platform that:
- Connects to your business systems (like Slack, Salesforce, Google Workspace, and others)
- Processes and indexes data from those systems
- Answers questions by synthesizing information across all connected sources
- Takes actions on your behalf when you request them
Cogito uses artificial intelligence to provide these services. While we strive for accuracy, AI can make mistakes. You should verify important information before acting on it.
3. Your Account
Account Creation
You must provide accurate information when creating an account. You're responsible for maintaining the security of your account credentials and for all activity under your account.
Integrations
When you connect third-party services to Cogito, you authorize us to access data from those services on your behalf. You represent that you have the right to grant this access and that doing so doesn't violate any agreements with those services.
4. Acceptable Use
You agree to use Cogito responsibly. You will not:
- Violate any laws or regulations
- Infringe on others' intellectual property or privacy rights
- Attempt to gain unauthorized access to our systems or other users' data
- Use Cogito to harm, harass, or defraud others
- Reverse engineer, decompile, or attempt to extract our source code
- Use automated tools to scrape or overload our service
- Share your account credentials with others
- Use Cogito in any way that could damage our reputation or business
We reserve the right to suspend or terminate accounts that violate these terms.
5. Your Content & Data
Ownership
You retain all rights to your data and content. We don't claim ownership of anything you connect to or create with Cogito.
License to Us
By using Cogito, you grant us a limited license to access, process, store, and display your content solely to provide and improve our services. This license ends when you delete your account or disconnect your integrations.
AI-Generated Content
When Cogito generates responses, summaries, or other content based on your data, you own the output. However, similar outputs may be generated for other users with similar queries - we don't claim exclusivity.
Actions on Your Behalf
When you ask Cogito to take actions (like sending emails, updating records, or creating documents), you're responsible for reviewing and approving those actions. Cogito will always ask for confirmation before taking significant actions.
Feedback
If you provide feedback or suggestions about Cogito, we may use them to improve our service without obligation to you.
Our Intellectual Property
Cogito, including its software, algorithms, user interface, branding, and documentation, is owned by us and protected by intellectual property laws. These terms don't grant you any rights to our intellectual property except the limited right to use the service as described here. You may not copy, modify, distribute, or create derivative works based on our service.
6. Confidentiality
We treat your data as confidential:
Your Confidential Information
All data you provide or connect to Cogito, including your queries, business information, and connected system data, is treated as confidential. We will not disclose your confidential information to third parties except as described in our Privacy Policy.
Our Confidentiality Commitment
We will protect your confidential information using the same degree of care we use to protect our own confidential information, and no less than reasonable care. This obligation continues even after you stop using Cogito.
Exceptions
Information is not considered confidential if it: becomes publicly available through no fault of ours, was already known to us before you provided it, or is required to be disclosed by law.
7. AI Disclaimer
Cogito uses artificial intelligence, which has inherent limitations:
- AI can produce inaccurate, incomplete, or outdated information
- AI may misunderstand context or intent
- AI-generated content should not be relied upon for legal, medical, financial, or other professional advice
- You are responsible for verifying important information before acting on it
We continuously work to improve accuracy, but we cannot guarantee that Cogito's outputs will be error-free. Use your judgment and seek professional advice when appropriate.
8. Warranties & Liability
Disclaimer of Warranties
Cogito is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Cogito and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the service.
Our total liability for any claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions don't allow these limitations, so they may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Cogito and its team from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the service
- Your violation of these terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Content you provide or connect to Cogito that violates any law or agreement
We will notify you of any such claim and cooperate with your defense. We reserve the right to assume exclusive defense of any matter subject to indemnification.
10. Fair Use
Cogito's plans are designed for normal business use. If a customer's AI usage significantly and consistently exceeds typical usage patterns for their plan tier, Cogito reserves the right to contact the customer to discuss an appropriate plan.
Cogito does not impose hard usage caps but may reach out to discuss plan fit in cases of sustained, atypical usage.
11. Export Controls & Sanctions
You agree to comply with all applicable export control laws, trade sanctions, and regulations, including those of the United States and any other applicable jurisdiction. You represent and warrant that:
- You are not located in, or a resident or national of, any country subject to U.S. trade sanctions or embargoes
- You are not on any U.S. government restricted parties list (including the SDN List, Entity List, or Denied Persons List)
- You will not use Cogito in violation of any export restriction, embargo, or other trade sanction
- You will not provide access to Cogito to any person or entity that is subject to such restrictions
We reserve the right to restrict or terminate access to users or regions as required by applicable law.
12. Changes & Termination
Changes to Terms
We may update these terms from time to time. We'll notify you of significant changes by email or through the service. Your continued use after changes take effect means you accept the new terms.
Termination by You
You can stop using Cogito and delete your account at any time. Upon deletion, we'll remove your data according to our Privacy Policy.
Termination by Us
We may suspend or terminate your access if you violate these terms, if required by law, or if we discontinue the service. We'll provide reasonable notice when possible.
Effect of Termination
Upon termination, your right to use Cogito ends. Sections that should survive (like liability limitations, intellectual property, and dispute resolution) will continue to apply.
13. Governing Law & Disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Informal Resolution First
Before initiating any formal dispute resolution, you agree to contact us at legal@trycogito.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days. If the dispute is not resolved within that time, either party may proceed with formal dispute resolution.
Binding Arbitration
Any dispute that cannot be resolved informally will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Key terms:
- Arbitration will be conducted by a single arbitrator
- The arbitration will take place in Delaware, or remotely if mutually agreed
- The arbitrator's decision will be final and binding
- Judgment on the award may be entered in any court of competent jurisdiction
- Each party will bear its own costs, with arbitration fees split as determined by the AAA rules
Exceptions
Either party may seek injunctive relief in court for intellectual property violations or to prevent irreparable harm. Small claims court actions are also permitted where applicable.
Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings.
14. Force Majeure
Neither party will be liable for any failure or delay in performing their obligations under these terms if such failure or delay results from circumstances beyond the party's reasonable control. This includes, but is not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, labor disputes, internet or telecommunications failures, power outages, or failures of third-party service providers. If a force majeure event continues for more than 30 days, either party may terminate the affected services.
15. General Provisions
Entire Agreement
These Terms of Service, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Cogito regarding your use of our service. These terms supersede any prior agreements or communications.
Severability
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by Cogito.
Assignment
You may not assign or transfer these terms or your rights under them without our prior written consent. We may assign our rights and obligations under these terms without restriction.
